The O2 sensor bypass by itself won't do much that you will feel. Been there, done that, now Dale Walker Stage II.....

You don't need to make or buy an EGO sensor bypass on the bandit.

Disconnecting the wire to pin 23 of the small ECU plug disables the EGO sensor input.

This is right, Bandit riders don't have an ego problem, we leave that to the Harley riders. What a Face

I plan on doing the air box mod and k&n filter next weekend. Ive got a high flow two brothers can on already. Is the 02 sensor going to be necessary then or am i confusing myself again and its a definite.

O2 sensor bypass is only required if you are using an aftermarket fuel controller

The factory fuel mapping of most bikes is not set to be ideal for power/torque figures, but to get the bike passed for emissions standards. Usually giving a lean fuel mix around cruising revs resulting in less pollution out of the exhaust.
When we mod our intake/exhaust system, we cause more air to flow. Our computer controlled fuel systems are not quite advanced enough to recognise the extra air flow and do not add extra fuel,  resulting in even leaner fuel/air mixes.
A fuel controller,  such as Power Commander or EJK, can be used to correct the amount of fuel injected at various rev ranges in order to get the best fuel/air mix. This gives a smoother more powerful engine performance but most importantly prevents damage which can occur with lean (hot ) fuel mixes.

If your not doing the exhaust side at the same time it wont make a lot of difference anyway. The factory headers are quite restrictive so you can open the air box up and not increase flow significantly to warrant a PC.
